1. About Veprio
VEPRIO is an India-based business that provides Veprio, an AI-powered customer operations platform for businesses.
Depending on plan, configuration, integration availability and product release status, Veprio may provide features such as:
- AI-assisted voice reception and calling;
- WhatsApp Business interactions;
- AI agents and automated customer-service workflows;
- customer enquiry handling;
- appointment scheduling, modification and cancellation;
- reminders and follow-ups;
- CRM and contact management;
- conversation history;
- call or conversation summaries;
- knowledge retrieval;
- notifications and routing;
- human handoff; and
- related customer-operations functionality.
Features may be added, changed, limited, replaced or discontinued as the service evolves.
2. Acceptance and authority
By creating an account, purchasing, accessing or using Veprio, you agree to these Terms and our incorporated policies on behalf of yourself and, where applicable, the business or organisation you represent.
If you use Veprio on behalf of a business or organisation, you represent that you have authority to bind that business or organisation to these Terms.
Veprio is intended primarily for business and organisational use. If mandatory consumer-protection rights apply to you, nothing in these Terms excludes or limits rights that cannot lawfully be excluded or limited.
3. Accounts and authorised users
You must provide accurate information when creating or configuring an account and keep relevant account and billing information reasonably current.
You are responsible for:
- activity performed through your account;
- maintaining the confidentiality of credentials;
- managing authorised users and their permissions;
- securing connected third-party accounts and integrations;
- promptly disabling access for users who are no longer authorised; and
- notifying us if you reasonably believe your account or credentials have been compromised.
You must not share credentials in a manner that defeats account or usage restrictions.
4. The Veprio service
Veprio provides software and automation tools. The exact features available to you depend on your plan, configuration, geography, technical dependencies, third-party integrations and current product release status.
Some functionality may require third-party accounts, numbers, credentials, permissions, approvals or verification before it can operate.
Veprio does not guarantee that every feature is available in every country, for every business type or through every communication channel.
5. Communication channels and consent
Where Veprio is connected to WhatsApp, telephony, email or another communication service, you are responsible for using that channel lawfully and consistently with applicable provider policies.
This includes responsibility for:
- obtaining any consent, opt-in, permission or lawful basis required before contacting an individual;
- providing any legally required notice or disclosure;
- maintaining required consent or opt-in records;
- complying with applicable anti-spam, telemarketing, Do-Not-Disturb and consumer-protection rules; and
- promptly honouring valid opt-out or stop requests.
Veprio does not grant you permission to contact a person whom you would not otherwise be lawfully permitted to contact.
6. WhatsApp Business Platform
Certain Veprio features may use Meta's WhatsApp Business Platform or related WhatsApp Business services.
Your use of WhatsApp-related functionality is subject to the then-current Meta and WhatsApp terms, policies, documentation, technical requirements, messaging restrictions, commerce rules and quality requirements applicable to your business and use case.
You are responsible for obtaining and maintaining any required opt-in or permission before sending WhatsApp messages or placing WhatsApp calls. Where separate permission is required for a category of messages or for calling, you must obtain that permission before initiating the communication.
You are responsible for the content sent through your business account and must provide and honour any required opt-out mechanism.
Meta or WhatsApp may independently limit, restrict, suspend or terminate phone numbers, templates, business accounts, sending capabilities or other functionality. Veprio does not control those decisions and cannot guarantee continued access to any third-party platform.
7. Voice calls, recordings and transcription
If voice functionality is enabled, Veprio may assist in answering, placing, routing, transcribing, summarising or otherwise processing telephone calls.
Some configurations may involve recording, transcription, AI-generated responses, automated routing or automated actions.
You are responsible for determining whether your calling use case is lawful and for providing all notices and obtaining all consents required for automated calling, recording, transcription or other processing.
You are also responsible for complying with applicable telemarketing, calling-time, caller-identification, Do-Not-Disturb and similar requirements.
8. AI-generated content and automated actions
Veprio uses artificial intelligence. AI output may be inaccurate, incomplete, outdated, misleading or inappropriate.
You are responsible for configuring instructions, knowledge, permissions, workflow rules, approval mechanisms and human handoff appropriate to your use case.
You are responsible for deciding how much autonomy to provide to Veprio and for using appropriate human review where an error could create material harm.
You must independently verify AI output before relying on it for a high-impact, regulated, legally significant, safety-critical or similarly sensitive decision.
Veprio does not guarantee that an AI-generated response, summary, classification, recommendation or automated action will always be correct or suitable for your intended purpose.
9. Healthcare and regulated use cases
Veprio may assist clinics and other businesses with administrative workflows such as general enquiries, scheduling, reminders, routing and customer support.
Veprio is not a medical professional, emergency service or telemedicine provider and must not be relied upon to independently diagnose conditions, prescribe treatment or provide emergency medical guidance.
You must not use Veprio to process regulated, health-related or other sensitive information where applicable law, contractual requirements or a third-party platform policy prohibits that processing or requires safeguards that are not in place.
If your business is subject to healthcare, financial, legal, employment or other sector-specific obligations, you are responsible for determining whether Veprio is appropriate for the intended use and for implementing required safeguards.
10. Customer data
As between you and Veprio, you retain your rights in business data, customer data, content and other information that you provide or make available to Veprio (“Customer Data”).
You grant Veprio a limited right to host, copy, transmit, process, analyse, display and otherwise handle Customer Data only as reasonably necessary to provide, secure, maintain, troubleshoot and support Veprio, comply with your authorised instructions, and satisfy applicable legal obligations.
You represent that you have the rights, notices, permissions, consents and other lawful basis necessary to provide and process Customer Data through Veprio.
You remain responsible for the lawfulness, accuracy and quality of Customer Data you supply or instruct Veprio to process.
11. Privacy and data protection
Our handling of personal data is described in our Privacy Policy.
You agree to comply with applicable privacy and data-protection laws in connection with your use of Veprio.
You must reasonably cooperate with privacy, access, correction, deletion, security and regulatory requests relating to data processed through your Veprio account.

12. Confidentiality
Each party may receive non-public information relating to the other party that is reasonably understood to be confidential.
The receiving party will use reasonable care to protect such information and will use it only for the relationship, the provision or use of Veprio, or as otherwise permitted by law.
Confidentiality obligations do not apply to information that the receiving party can demonstrate was lawfully known without confidentiality restrictions, becomes public through no breach, is lawfully obtained from another source without restriction, or is independently developed without use of the other party's confidential information.
A party may disclose confidential information where required by law or valid legal process, subject to any legally permitted notice and protective measures.
13. Third-party services
Veprio relies on third-party technology and infrastructure. These may include Meta and WhatsApp, telephony providers, AI model providers, speech-processing services, hosting providers, databases, monitoring providers, payment services and other infrastructure.
Third-party services may experience outages, change functionality, change pricing, impose limitations, alter policies or discontinue features.
Veprio is not responsible for acts or omissions of independent third-party providers that are outside Veprio's reasonable control.
Your use of a third-party service may also be governed by that provider's own terms and policies.
14. Acceptable use
You must comply with our Acceptable Use Policy, which forms part of these Terms.
Without limiting that policy, you must not use Veprio unlawfully, to send spam, facilitate fraud or phishing, harass people, infringe rights, distribute malware, gain unauthorised access, bypass security or usage controls, or violate third-party communication platform rules.
15. Intellectual property
VEPRIO and its licensors retain all rights, title and interest in Veprio, including its software, product design, brand, documentation, interfaces, workflows and underlying technology, excluding Customer Data and third-party materials.
Subject to these Terms and payment of applicable fees, Veprio grants you a limited, non-exclusive, non-transferable, non-sublicensable right to use the service for your internal business purposes during your authorised service period.
You may not, except where applicable law expressly permits:
- copy or reproduce substantial portions of the platform;
- sell, sublicense or resell access without written permission;
- reverse engineer, decompile or attempt to extract source code;
- circumvent technical or security restrictions;
- remove proprietary notices;
- use Veprio's branding without permission; or
- misrepresent that another product or service is operated, sponsored or endorsed by Veprio.
16. Feedback
If you voluntarily provide suggestions, feature requests, usability comments or product feedback, you permit Veprio to use that feedback to develop and improve its products and services without an obligation to compensate you.
This does not give Veprio ownership of your underlying Customer Data or confidential business information.
17. Fees, subscriptions and usage charges
Paid Veprio services may include subscription charges, setup charges, usage-based charges, overage charges or other fees described in the applicable plan, quotation, order, invoice or written agreement.
Communication, AI, telephony, messaging or other third-party usage may be subject to limits, fair-use restrictions or separate charges.
You agree to pay amounts properly charged to your account when due.
Pricing, included usage and plan limits may change for future billing periods after reasonable notice where appropriate.
Unless otherwise stated in an applicable order or required by law, amounts already paid are generally non-refundable for a service period that has begun, committed third-party usage, or setup work already performed.
18. Taxes
Fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for taxes, duties or similar governmental charges associated with your purchase or use of Veprio, except taxes based on Veprio's net income.
Where Veprio is required to collect or remit tax, the applicable amount may be added to your invoice or charge.
19. Trials, pilots, beta and preview features
Veprio may provide free trials, pilots, early-access functionality, beta features or preview functionality.
These features may be incomplete, changed or discontinued at any time and may be less reliable than generally available functionality.
Unless Veprio expressly agrees otherwise in writing, trial, pilot, beta and preview features are provided for evaluation and testing and without service-level commitments.
20. Service availability
We aim to provide a reliable service but do not guarantee that Veprio will always be uninterrupted, error-free, secure or available.
Availability may be affected by maintenance, telecommunications networks, internet connectivity, infrastructure failures, third-party providers, security incidents, software defects, legal requirements or circumstances outside our reasonable control.
We may perform maintenance or make changes reasonably necessary to protect security, reliability, users or third-party integrations.
21. Security
We use reasonable safeguards designed to protect Veprio and data processed through it, but no internet-based service can guarantee absolute security.
You are responsible for implementing reasonable security on your own systems, credentials, devices and connected accounts.
You must promptly notify us at chetan@veprio.com if you reasonably believe your account or Veprio-related data has been compromised.
22. Suspension
We may restrict or suspend access where reasonably necessary because of:
- non-payment;
- suspected fraud or abuse;
- a material security risk;
- unlawful activity;
- breach of these Terms or the Acceptable Use Policy;
- abuse of communication channels;
- risk to another customer, end-user or Veprio;
- requirements imposed by a third-party platform; or
- legal or regulatory requirements.
Where reasonable and permitted, we will attempt to provide notice. Urgent action may be taken without advance notice where reasonably necessary to prevent harm, protect security, comply with law or respond to third-party platform enforcement.
23. Cancellation and termination
You may stop using Veprio or cancel a subscription according to the applicable plan, order, quotation or written agreement.
Unless otherwise specified, cancellation ordinarily takes effect at the end of the current paid service period.
We may terminate access for a material breach, repeated violation, non-payment, unlawful use, serious security risk, or where continuing to provide the service would create a material legal or platform risk.
After termination, your right to access and use Veprio ends, except for any limited access or export rights expressly agreed in writing.
Personal data and Customer Data will be handled according to our Privacy Policy, Data Deletion process and applicable legal obligations.
Provisions that by their nature should survive termination, including accrued payment obligations, confidentiality, intellectual property, disclaimers, liability limits, indemnification and dispute provisions, will survive to the extent applicable.
24. Disclaimers
To the maximum extent permitted by applicable law, Veprio is provided on an “as is” and “as available” basis.
We do not warrant that:
- the service will always be uninterrupted or error-free;
- every AI output will be accurate or complete;
- every message or call will be delivered successfully;
- every appointment or workflow will execute correctly;
- every third-party integration will remain available;
- the service will meet every particular business requirement; or
- all defects will be corrected immediately.
You are responsible for maintaining appropriate business procedures, human oversight, business-continuity measures and backups where reasonably necessary for your operations.
25. Limitation of liability
To the maximum extent permitted by applicable law, VEPRIO and its owners, personnel and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill, anticipated savings, data or business opportunity arising out of or relating to Veprio.
To the maximum extent permitted by applicable law, VEPRIO's aggregate liability arising out of or relating to the affected Veprio service will not exceed the fees actually paid by the customer to VEPRIO for that affected service during the twelve months immediately preceding the event giving rise to the claim.
If you have used only a free or unpaid service and applicable law permits a contractual cap, VEPRIO's aggregate liability for that free service will be limited to the amount, if any, expressly required by applicable law.
Nothing in these Terms excludes or limits liability to the extent applicable law does not permit that liability to be excluded or limited.
26. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold VEPRIO and its owners and personnel harmless from third-party claims, losses, liabilities, damages and reasonable costs arising out of or relating to:
- your unlawful or unauthorised use of Veprio;
- your Customer Data, content or business configuration;
- your communications with customers or prospects;
- your failure to obtain required permissions or consents;
- your violation of third-party platform policies;
- your infringement of another person's rights; or
- your material breach of these Terms or the Acceptable Use Policy.
We will provide reasonable notice of a covered claim where practicable and allow reasonable cooperation in the defence, subject to our right to participate with counsel of our choosing.
27. Events outside reasonable control
Neither party will be responsible for delay or failure to perform an obligation, other than payment obligations, to the extent caused by events beyond its reasonable control, such as natural disasters, widespread internet or telecommunications failures, government action, war, civil unrest, labour disruption, power failure, cyberattack, or material failure of an independent third-party infrastructure provider.
28. Changes to the service
Veprio is an evolving product. We may add, modify, limit, replace or remove functionality.
Where a change materially reduces a paid service, we will provide notice where reasonably appropriate, subject to urgent security, legal or third-party platform requirements.
Third-party integrations may change independently of Veprio.
29. Changes to these Terms
We may update these Terms from time to time as the service, applicable law or third-party platform requirements evolve.
When we make changes, we will update the “Last updated” date.
Where required by applicable law or appropriate because of a material change, we may provide additional notice.
Continued use of Veprio after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
30. Assignment
You may not assign or transfer these Terms or your rights under them without VEPRIO's prior written consent, except where applicable law provides otherwise.
VEPRIO may assign or transfer these Terms in connection with a reorganisation, financing, sale of assets, merger, acquisition or transfer of all or substantially all of the relevant business, subject to applicable law.
31. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-laws principles.
The parties will first attempt in good faith to resolve a dispute through reasonable written communication.
If a dispute cannot be resolved informally, it will be subject to the jurisdiction of courts having competent jurisdiction under applicable Indian law, unless a mandatory law requires otherwise.
32. Entire agreement and priority
These Terms, together with the Privacy Policy, Acceptable Use Policy, applicable plan, quotation, order, invoice and any other written agreement between you and VEPRIO, constitute the agreement governing your use of the relevant Veprio service.
If a separately executed written agreement expressly conflicts with these Terms, that separately executed agreement controls to the extent of the conflict for the matters it covers.
33. Severability and waiver
If any provision of these Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
Failure or delay in enforcing a provision does not waive the right to enforce it later.

We may provide notices to you through the service, the email address associated with your account, an invoice or another reasonable electronic method.
